Important Notice: Please Read Before Using the Platform
GOSAI OS is operated by Gosai Law Pty Ltd and its affiliated entities. While Gosai Law is a regulated law firm, your use of the Platform, including any AI-powered contract review, document generation, or other self-service feature, does not by itself create an attorney-client relationship or constitute legal advice. AI outputs are automated, preliminary, and informational only. You are solely responsible for all decisions made based on Platform outputs. You should seek advice from a qualified lawyer licensed in the relevant jurisdiction before relying on any output for a material legal, business, or financial decision.
By creating an account, accessing the Platform, uploading documents, using any AI Feature, or otherwise using any Service, you agree to be bound by these Terms.
These Terms of Use (these “Terms”) are between Gosai Law Pty Ltd ACN 660 864 264 and its affiliated entities (“we,” “us,” or “our”) and the person or organization accessing or using the Platform (“you” or “your”). If you use the Platform on behalf of an organization, you bind that organization and warrant that you have authority to do so.

“Contract Review Feature” means the AI-powered contract review, analysis, redlining, clause extraction, risk scoring, and related automated review functionality available through the Platform, whether offered on a free or paid basis.
“Engagement Terms” means any separate engagement letter, scope of work, costs disclosure, proposal, order form, package terms, or other written terms that apply to Lawyer Services or a specific Service.
“Free Tier” means any Service or feature made available through the Platform at no charge, including any beta, pilot, or preview version of any Service.
“Lawyer Services” means legal services provided by a relevant legal services entity or lawyer connected with the Platform, including drafting, review, legal advice, compliance review, incorporation or filing assistance, dispute assistance, legal consultation calls, and related professional services.

“Platform” means the website, app, dashboards, workspaces, document vault, request system, template tools, response portal, academy, payment interface, integration layer, and related technology made available by us under or in connection with GOSAI OS.
“Response Portal” means any token-based or otherwise restricted portal, page, or workflow that permits a person to review a request, upload files, exchange messages, or obtain materials without a full account login.
“Self-Service Documents” means templates, precedents, generated documents, questionnaires, data-populated forms, playbooks, articles, or other self-service legal content made available through the Platform.
“Services” means the Platform, Self-Service Documents, AI Features (including the Contract Review Feature), Lawyer Services, Partner Services, incorporation services, billing features, and any other services made available by us.

(a) These Terms govern your access to and use of the Platform and any related Services, unless we expressly agree otherwise in writing.
(b) Certain Services may be subject to additional or separate terms, including Engagement Terms for Lawyer Services, package-specific terms, AI feature notices, or third-party provider terms.
(c) If there is any inconsistency between these Terms and any other terms issued by us, the following order of precedence applies: (i) Engagement Terms or a matter-specific engagement letter; (ii) any proposal, order form, or service-specific supplement accepted by the parties; (iii) these Terms; and (iv) any website guidance or explanatory material.
(d) You must not access or use the Platform if you do not agree to these Terms.
(e) We may require click-through acceptance or separate confirmation of particular terms before you access certain Services, and such acceptance will be binding.
(f) Nothing in these Terms obliges us to provide any particular Service, accept any instruction, onboard any customer, complete any matter, or make any feature available in every jurisdiction.
(a) We may amend these Terms from time to time to reflect changes to the Platform, our Services, applicable law, security requirements, or our business operations.
(b) If we make a material change that adversely affects your rights, we will use reasonable efforts to give you at least 7 days’ notice by email or through the Platform, unless a shorter period is required for security, fraud prevention, or legal compliance reasons.
(c) Your continued use of the Platform after an update constitutes acceptance of the updated Terms.
(d) If you do not agree to an update, you must stop using the affected Services before the update takes effect.
(a) You must be at least 18 years of age and have legal capacity to enter into binding agreements.
(b) The Platform is intended primarily for business, founder, investor, corporate, commercial, and professional use. It is not designed for personal domestic or household use.
(c) If you use the Platform on behalf of an organization, you represent and warrant that you are authorized to bind that organization.
(d) You must ensure that all information you provide is current, complete, and accurate, and you must promptly update any information that becomes inaccurate.
(e) You must not use the Platform for emergency matters, imminent court deadlines, urgent injunction applications, or any matter where delay could materially prejudice your rights, unless and until you have received clear written confirmation from us that the matter has been accepted.
(f) We may refuse access where access would be unlawful, would create an unacceptable regulatory or sanctions risk, would fall outside supported jurisdictions, or would otherwise be inappropriate in our reasonable judgment.
(g) We may require identity verification, corporate verification, or other information before permitting access to some or all Services.
(a) The Platform is designed to bring legal work, document management, AI-powered contract review, requests, billing, communications, and selected automation tools into one environment centered on your business or organization.
(b) Depending on plan, jurisdiction, and feature availability, the Platform may include document upload and storage, template generation, AI-powered contract review and analysis, lawyer messaging, incorporation workflows, dispute triage tools, call booking, educational content, partner introductions, billing and subscription management, and related functionality.
(c) Not every feature will be available to every user, company, plan, jurisdiction, or matter type.
(d) Descriptions of Services on the Platform are provided for general information only. The actual scope, timing, deliverables, price, and availability of any Service may depend on the information you provide, jurisdictional limits, conflict checks, legal restrictions, and our capacity to accept the work.
(e) Any estimate of timeframe, cost, or likely next step shown in the Platform is indicative only unless expressly confirmed in writing.
(f) We may use employees, contractors, third-party providers, local counsel, affiliated entities, regulated law practices, agents, or technology providers to assist in the delivery of Services, subject to applicable law.
This section is a material term of these Terms. Please read it carefully.
(a) General information, educational content, Academy materials, AI Outputs (including outputs of the Contract Review Feature), template suggestions, triage outputs, compliance scores, deadline prompts, and Self-Service Documents made available through the Platform are provided for general informational purposes only and do not constitute legal advice, a legal opinion, or a professional recommendation.
(b) Creating an account, opening a Workspace, uploading documents, using any AI Feature (including the Contract Review Feature), submitting a request, chatting on the Platform, booking a consultation, or making a payment does not, by itself, create an attorney-client relationship, fiduciary relationship, retainer, duty to act, or conflict clearance between you and Gosai Law or any affiliated entity.
(c) An attorney-client relationship will arise only if and when the relevant legal services entity has completed any required conflicts and onboarding checks, has accepted the matter, and has confirmed the engagement in writing through Engagement Terms.
(d) Until that written confirmation occurs, we may decline to act, request more information, refer you elsewhere, and you must not assume that any deadline is being monitored by us.
(e) The Contract Review Feature is an automated tool that uses artificial intelligence to identify and analyze clauses, flag potential issues, and generate summaries and redlines. It does not involve review by a human lawyer unless you separately engage Lawyer Services. The Contract Review Feature may miss material clauses, misinterpret governing law, fail to identify jurisdiction-specific issues, produce analysis that is incorrect or misleading, or omit important legal, tax, regulatory, or commercial context. You must not treat the output of the Contract Review Feature as a substitute for review by a qualified lawyer.
(f) Unless expressly agreed in writing, we do not provide tax advice, accounting advice, audit services, financial product advice, investment advice, or regulated trustee or custody services through the Platform.
(g) If you require jurisdiction-specific advice, urgent legal advice, court representation, regulated filing advice, or an opinion on local law, you must obtain appropriate professional advice and must not rely solely on Platform content or AI Outputs.
(a) To use the Platform, you must create a free account. You are responsible for maintaining the confidentiality and security of your login credentials and authentication methods.
(b) You must not share account credentials except within your organization where permitted by the Platform.
(c) The person who creates or administers a Workspace may invite or remove Authorized Users, allocate roles and permissions, and manage access to Company Data.
(d) You are responsible for all acts and omissions of your Authorized Users, including instructions submitted, documents uploaded, permissions granted, and communications sent through the Platform.
(e) You must promptly notify us if you become aware of any unauthorized access, suspected compromise, or misuse.
(f) We may maintain access logs, audit trails, request histories, and related records for security, operational, and legal compliance purposes.
(a) We use reasonable care in operating the Platform, but we do not guarantee that the Platform or any feature will be uninterrupted, secure, timely, compatible with all devices, free from error, or available at all times.
(b) We may suspend, restrict, or modify access to the Platform or any Service for maintenance, upgrades, incident response, fraud prevention, data protection, legal compliance, product changes, or operational reasons.
(c) We may add, withdraw, reclassify, or redesign features, workflows, integrations, templates, plans, and pricing from time to time.
(d) BETA FEATURES. Any feature designated as beta, preview, pilot, experimental, early access, or free preview (including the Contract Review Feature during any beta period) is provided on an “as available” basis. Beta features:
(e) Unless we expressly agree otherwise in writing, no uptime commitment, service level agreement, or minimum response time applies to the Platform or any AI Feature.
(f) Technical support and user assistance for the Platform are provided via email or in-Platform messaging during our standard business hours. Support requests should be submitted through the Platform or by emailing us at the contact address specified in Section 25. For Free Tier users, support is provided on a reasonable-efforts basis and at our discretion. Paid subscribers may be entitled to enhanced support as specified in the applicable plan or Engagement Terms.
(a) The Platform may extract, infer, classify, or display Company Data from uploaded or imported documents, questionnaires, Workspace entries, or related materials.
(b) You must review and verify any extracted, inferred, classified, or auto-filled Company Data before relying on it, using it for decision-making, or submitting it to any authority or counterparty.
(c) Any compliance score, health check result, deadline countdown, risk flag, or reminder generated through the Platform is based only on the information available to the Platform at the relevant time and may be incomplete, inaccurate, or out of date.
(d) Compliance tools do not constitute an exhaustive legal review, do not replace public register searches, do not confirm legal compliance, and do not shift responsibility for monitoring actual deadlines, obligations, or regulatory requirements away from you.
(e) You are solely responsible for verifying all deadlines, action items, filing obligations, corporate records, and regulatory requirements affecting your business.
(a) You may upload, import, store, organize, and download documents through the Platform, subject to any technical, file type, size, or storage limits notified by us.
(b) You warrant that you have all necessary rights, permissions, and lawful authority to upload, import, store, process, review, and transmit all User Materials through the Platform and to grant us the rights required under these Terms.
(c) We may scan, index, classify, process, store, and reproduce User Materials to operate the Platform, provide Services, generate outputs, maintain records, improve the Platform and AI Features, detect abuse, and comply with law.
(d) Documents uploaded through the Contract Review Feature or any other AI Feature will be retained in your Workspace document vault and will be accessible to you for as long as your account remains active, unless you delete them. We may retain copies of User Materials for backup, security, compliance, or operational purposes after deletion from your Workspace, subject to our data retention policy.
(e) We may use anonymized, de-identified, or aggregated data derived from User Materials (including documents submitted for AI review) to improve the Platform, train and improve AI Features, develop new features, and generate industry benchmarks, provided that such data does not identify you, your organization, or any specific counterparty. If you do not consent to this use, you must not upload documents to the Platform.
(f) Imported or uploaded documents may be misclassified, partially processed, duplicated, truncated, or assigned incorrect metadata. You must check all imported or classified information before relying on it.
(g) We may reject, block, quarantine, or remove User Materials that are corrupted, malicious, unlawful, infringing, or otherwise create security, regulatory, or operational risk.
(a) The Platform may make Self-Service Documents available for browsing, completion, download, and editing, including through dynamic forms, conditional questions, and profile-based pre-fill functionality.
(b) You are responsible for checking all answers you submit, all pre-filled details, all selected options, all drafting positions, all execution blocks, all attachments, and the final form of any generated or downloaded document before it is signed, filed, circulated, or relied on.
(c) A generated document may not be suitable for every jurisdiction, transaction, cap table, fundraising structure, employment arrangement, governance framework, or regulatory context, and may require review or amendment by a qualified lawyer.
(d) If the Platform provides AI-powered contract review, redlining, clause analysis, risk scoring, or similar functionality, the output is an automated tool to assist your review only. AI contract review outputs:
(e) You are solely responsible for all decisions made on the basis of any AI contract review output, including decisions to sign, reject, negotiate, amend, or rely on any contract.
(f) Version labels, prior copies, or archived files in the Platform may not reflect the latest law or the latest form of template. You must check the specific document you intend to use.
(g) Academy content, legal updates, checklists, guides, articles, videos, and downloadable content are provided for general education only and do not constitute legal advice.
(a) The Platform may include AI Features for triage, template suggestion, incorporation guidance, document review, contract analysis, document classification, dispute analysis, compliance scoring, deadline prompting, extraction, summarization, drafting support, transcription, and other related functions.
(b) You authorize us and our third-party AI providers to process AI Inputs for the purpose of generating AI Outputs and operating the relevant AI Feature, subject to these Terms and the Privacy Policy.
(c) AI outputs may be inaccurate, incomplete, outdated, biased, misleading, non-unique, generated from incomplete data, or unsuitable for your intended purpose. AI outputs may omit important legal issues, commercial context, procedural requirements, filing requirements, limitation periods, consumer law issues, regulatory issues, tax consequences, or factual assumptions.
(d) You must independently review and validate each AI Output before relying on it. Where the issue is material, urgent, high-value, contentious, jurisdiction-specific, or otherwise sensitive, you must seek review by a qualified human lawyer.
(e) Unless expressly stated otherwise in writing, AI Outputs are preliminary and informational only and do not constitute a legal opinion, legal advice, filing advice, litigation advice, regulated compliance approval, or professional sign-off.
(f) You must not use any AI Feature to generate or transmit unlawful, infringing, defamatory, deceptive, discriminatory, abusive, or malicious content, or to attempt to reverse engineer, benchmark, harvest, scrape, or systematically extract outputs from the Platform or any underlying model.
(g) We may apply rate limits, token limits, feature-specific usage caps, fair use controls, queueing rules, retention settings, or other operational limits to AI Features, including to Free Tier users.
(a) The Platform may permit you to submit requests for documents, agreements, reviews, service packages, legal calls, disputes, incorporations, and related matters.
(b) We may request further information, documents, identity materials, payment, clarification, or confirmation before progressing a request.
(c) Communications within the Platform may form part of the record for the relevant request or matter.
(d) We may assign, reassign, or route a request internally or externally in our discretion, subject to applicable law and professional rules.
(e) Consultation booking is subject to availability and any booking or cancellation rules stated on the Platform.
(a) Lawyer Services, if offered, are separate from the baseline right to access the Platform and are subject to Section 6 and any applicable Engagement Terms.
(b) The scope of any Lawyer Service will be limited to the matter, task, jurisdiction, assumptions, deliverables, and fee basis expressly confirmed in writing.
(c) We may decline, defer, restrict, or cease a Lawyer Service if a conflict exists, if a sanctions or regulatory issue arises, if required information is not provided, if the matter falls outside our scope or licensing, if payment requirements are not met, or if we determine that we should not act.
(d) You must provide timely, complete, and accurate instructions and supporting documents.
(e) No Lawyer Service guarantees any outcome, court result, regulatory approval, filing acceptance, or commercial success.
(f) Where required by law or professional rules, the relevant legal services entity may issue a separate engagement letter, costs disclosure, or other client care document.
(a) The Platform may permit you to request incorporation, entity formation, filing, registered agent, company secretarial, or related services in selected jurisdictions.
(b) Name availability searches, entity comparisons, cost estimates, and formation timelines are indicative only.
(c) You are responsible for ensuring that all information submitted for an incorporation or filing is true, complete, and lawful.
(d) Government fees, filing fees, and other disbursements are payable in addition to our fees unless expressly stated otherwise.
(e) Filing times and government responses are outside our control.
(f) We may suspend or refuse an incorporation or filing workflow if verification, sanctions, identity, authority, or legal compliance concerns arise.
(a) The Platform may integrate with or rely on third-party services, including payment processors, scheduling providers, storage services, email services, AI providers, identity providers, and collaboration systems.
(b) Your use of any third-party service is subject to that provider’s own terms and privacy policy.
(c) We do not warrant the availability, performance, compatibility, or security of any third-party service and are not liable for any interruption, error, data loss, or act or omission of a third-party provider, except to the extent such liability cannot lawfully be excluded.
(d) Any partner directory, referral arrangement, or partner network feature is provided for convenience only and does not constitute an endorsement.
(a) Certain features of the Platform, including the Contract Review Feature, may be offered on a Free Tier basis. Free Tier features are subject to all terms in these Terms, including all disclaimers, limitations of liability, and the provisions of Sections 6, 11, and 12. We may impose usage limits, feature restrictions, or other conditions on Free Tier access at any time without notice.
(b) We may convert any Free Tier feature to a paid feature, or withdraw any Free Tier feature, at any time with reasonable notice.
(c) Fees for paid Services may be stated on the Platform, in a proposal, in an order form, in Engagement Terms, or otherwise in writing. Fees are denominated in the currency specified on the Platform or in the applicable Engagement Terms or order form.
(d) We will provide a receipt or invoice for all payments made through the Platform. Invoices for Lawyer Services will be issued in accordance with the applicable Engagement Terms.
(e) You must pay all fees, subscriptions, disbursements, filing costs, government charges, taxes, and other amounts payable for the Services in accordance with the stated payment terms.
(f) Subscriptions continue for the selected period and renew automatically unless cancelled before the renewal date.
(g) Unless stated otherwise, all fees are exclusive of GST, VAT, sales tax, withholding tax, and similar taxes.
(h) Unless required otherwise by law, fees are non-refundable once a paid Service has commenced, a document has been generated, a filing has been submitted, a consultation has taken place, or substantive work has been performed.
(i) If a payment is declined, reversed, or not received when due, we may suspend access, withhold deliverables, cancel requests, and take other lawful steps to recover amounts due.
(j) We may change fees or pricing structures on a prospective basis with reasonable prior notice.
(a) You must not use the Platform, any Service, or any output from the Platform:
(b) We may require identity documents, beneficial ownership details, source of funds information, or other compliance materials at any time.
(c) If you do not provide requested verification materials, or if we identify compliance concerns, we may suspend or terminate access without liability, except for any non-excludable rights.
(a) We collect, use, store, and disclose personal information in accordance with our Privacy Policy at https://app.gosai.law/privacy-policy, as updated from time to time.
(b) You consent to the processing, hosting, transfer, and disclosure of personal information, Company Data, and User Materials by us and our service providers, including across borders, to the extent reasonably required to operate the Platform, deliver Services, maintain security, comply with law, and enforce our rights.
(c) We will use reasonable administrative, technical, and organizational measures to protect personal information and User Materials against unauthorized access, loss, misuse, or disclosure.
(d) Information you submit before a lawyer-client relationship is formally accepted may be treated as commercially sensitive and handled in accordance with our Privacy Policy, but you must not assume that legal professional privilege or a professional duty to act has attached merely because information is stored on the Platform.
(e) Once Lawyer Services have been accepted, confidentiality, privilege, and professional record handling will also be governed by the applicable Engagement Terms, professional obligations, and law.
(f) We may maintain records of communications, request histories, document versions, system logs, security events, billing records, access logs, and other operational records for legal, regulatory, evidentiary, support, and audit purposes.
(a) As between you and us, we own or license all intellectual property rights in the Platform, its software, user interface, workflows, branding, trademarks, templates, internal methodologies, documentation, Academy materials, AI models, and all improvements, modifications, and derivatives thereof, excluding your User Materials.
(b) As between you and us, you retain ownership of your User Materials and your pre-existing intellectual property rights in your own business materials and data.
(c) You grant us a non-exclusive, worldwide, royalty-free license for the term of these Terms (and any applicable retention period) to host, store, reproduce, transmit, display, adapt, classify, index, analyze, process, and use your User Materials solely to the extent reasonably necessary to operate the Platform, provide the Services, generate outputs, maintain records, improve the Platform and AI Features, support users, enforce these Terms, and comply with law.
(d) Subject to payment of applicable fees (if any) and any restrictions in an Engagement Term, we grant you a non-exclusive, non-transferable license to use the Self-Service Documents, generated documents, and deliverables supplied to you through the Platform for your own internal business purposes.
(e) You must not resell, publish, distribute, sub-license, or create a competing service from any Self-Service Document, Academy content, template logic, deliverable, or other material supplied through the Platform, except with our prior written consent.
(f) If you provide feedback, suggestions, ideas, or improvement requests, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any lawful purpose without restriction or payment.
(a) To the maximum extent permitted by law, the Platform, Self-Service Documents, AI Features (including the Contract Review Feature), Partner Services, Response Portal, integrations, and all related content are provided on an “as is” and “as available” basis, with all faults.
(b) To the maximum extent permitted by law, we expressly disclaim all warranties, representations, and conditions of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, and non-infringement.
(c) Without limiting the foregoing, we do not warrant that:
(d) You expressly understand and agree that your use of the Platform, including the Contract Review Feature and all other AI Features, is at your sole risk.
(e) Nothing in these Terms excludes, restricts, or modifies any guarantee, condition, warranty, right, or remedy implied or imposed by law that cannot lawfully be excluded, including under the Australian Consumer Law, the UK Consumer Rights Act 2015, or any equivalent non-excludable law (“Non-Excludable Rights”).
(f) Where liability for breach of a Non-Excludable Right can lawfully be limited, our liability is limited, at our option, to the re-supply of the relevant services or the payment of the cost of having those services supplied again.
(a) To the maximum extent permitted by law, and subject to Section 21, we are not liable for any indirect, consequential, incidental, exemplary, or special loss, or any loss of profit, revenue, goodwill, business opportunity, expected saving, data, reputation, or use, arising out of or in connection with the Platform or any Service.
(b) To the maximum extent permitted by law, and subject to Section 21, our aggregate liability to you arising out of or in connection with the Platform and Services governed by these Terms is limited to the greater of (i) the total fees actually paid by you to us for the relevant Service in the 12 months before the event giving rise to the claim, or (ii) one hundred and fifty Australian dollars (A$150). For the avoidance of doubt, if you use only Free Tier features and have paid no fees, our maximum aggregate liability to you is A$150.
(c) The limitations in this section do not apply to liability that cannot be excluded or limited by law, and do not limit any liability we expressly assume under an Engagement Term for accepted Lawyer Services to the extent that Engagement Term states otherwise.
(d) You acknowledge that the fees charged for access to the Platform (including the availability of Free Tier features) are set by reference to the risk allocation in these Terms.
(a) You indemnify us and our officers, employees, contractors, affiliates, and agents against any claim, demand, action, loss, damage, cost, or liability arising from or in connection with:
(b) Your indemnity is reduced to the extent that the relevant loss was caused or contributed to by our breach, negligence, fraud, or willful misconduct.
(a) We may suspend, restrict, or terminate your access immediately if: (i) you breach these Terms; (ii) you fail to pay an amount when due; (iii) we reasonably suspect fraud, sanctions exposure, security abuse, or unlawful conduct; (iv) continued access would expose us or another person to legal, regulatory, or reputational risk; or (v) we discontinue the relevant Service.
(b) You may stop using the Platform at any time. To cancel a subscription or close an account, follow the cancellation process in the Platform or notify us in writing.
(c) Following termination, we may retain User Materials, Company Data, and related records for the period required by law, professional obligations, backup cycles, evidentiary requirements, fraud prevention, or our internal retention policy. Subject to those requirements, we will delete or de-identify data within a reasonable period consistent with applicable law.
(d) You are responsible for exporting or downloading any documents you wish to retain before closure of your account.
(e) Clauses that by their nature should survive termination, including clauses concerning fees, confidentiality, intellectual property, limitations of liability, indemnities, retention, dispute resolution, and general provisions, survive termination.
(a) We may give notices to you by email, through the Platform, or by any other reasonable electronic means.
(b) You may give notices to us by email to operations@gosai.law.
(c) If you have a complaint about the Platform, billing, access, privacy, security, or a general service issue, you should first raise the complaint through the Platform or by email.
(d) If your complaint concerns accepted Lawyer Services, the complaint may also be directed to the relevant legal services entity identified in the applicable Engagement Terms.
(e) Before starting court proceedings, a party must give written notice of the dispute and the parties must use reasonable efforts to resolve the dispute in good faith for at least 30 days, except where urgent interlocutory or injunctive relief is sought.
(a) You must not assign, novate, transfer, or otherwise deal with your rights or obligations under these Terms without our prior written consent.
(b) We may assign, novate, or transfer these Terms to an affiliate, successor, or purchaser of our business, provided that your rights are not materially diminished.
(c) A delay or failure by a party to exercise a right does not waive that right.
(d) If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision is to be read down or severed to the minimum extent necessary.
(e) These Terms, together with any applicable Engagement Terms and service-specific written terms, constitute the entire agreement between the parties regarding their subject matter.
(f) Nothing in these Terms creates a partnership, joint venture, agency, fiduciary relationship, employment relationship, or franchise relationship between the parties, except that a lawyer-client relationship may arise in accordance with Section 6 and the relevant Engagement Terms.
(g) We may rely on electronic communications, electronic records, click acceptance, digital acknowledgments, and electronic signatures in connection with the Platform, and you consent to receiving communications electronically.
(h) Unless expressly stated otherwise, a person who is not a party to these Terms has no right to enforce any provision of these Terms.
The following terms apply only if you use wallet connection, crypto payment, or blockchain-related features on the Platform. If you do not use these features, this section does not apply to you.
(a) Where the Platform permits wallet connection, wallet authentication, message signing, crypto payment, or any blockchain-related feature, the relevant wallet provider, network, and smart contract environment are third-party systems outside our control.
(b) We do not hold, control, or recover private keys, seed phrases, or wallet credentials. You are solely responsible for the security of your wallet and for verifying any signature prompt or transaction before approval.
(c) Crypto payments will be accepted only if expressly supported by us at the relevant time, for supported assets and networks, and may be subject to minimum confirmations, technical checks, pricing windows, volatility buffers, sanctions screening, and source of funds checks.
(d) Network fees, gas fees, bridge fees, exchange fees, slippage, and other blockchain transaction costs are your responsibility.
(e) Blockchain transactions may be delayed, fail, reverse on re-org, be affected by forks or network congestion, or be sent to an incorrect address. You bear the risk of using the wrong wallet, chain, token, or address details.
(f) Any blockchain-based certificate, NFT, or token associated with a formation, certificate, or record is a digital artifact or evidentiary record only unless we expressly state otherwise in writing, and does not constitute the legal act of incorporation, legal title, a security, a financial product, or any proprietary right.
(g) We may refuse or reverse access to any crypto-related workflow if required for sanctions compliance, fraud prevention, technical risk management, or legal compliance.
